Item 5.07 Submission of Matters to a Vote of Security Holders.
On June 7, 2019, Mersana Therapeutics, Inc. (the Company) held its Annual Meeting of Stockholders (the Annual Meeting), at which a quorum was present. At the Annual Meeting, the stockholders of the Company voted on two proposals as follows: (i) to elect Andrew A. F. Hack, M.D., Ph.D., and Kristen Hege, M.D., each, as a Class II member of the board of directors to serve until the Companys 2022 annual meeting of stockholders and until his or her successor is duly elected and qualified or until his or her earlier death, resignation or removal (Proposal 1), and (ii) to ratify the selection of Ernst & Young LLP as the Companys independent registered public accounting firm for the fiscal year ending December 31, 2019 (Proposal 2).
The Companys stockholders approved Proposal 1. The votes case at the Annual Meeting were as follows:
